Black Moms Connection is a local non-profit organization created to provide culturally relevant tools and resources to educate and empower the Black woman and her family.

About the BMC Board of Directors

With an active and engaged online membership, the goal of building the BMC Board of Directors is to find equally active, engaged and motivated professionals across a wide variety of industries, social spectrums to create a solid foundation of which the organization and its future can stand on.

About the role

With many organizations, everything is already established, and board members are asked to give of their time and talents, money and networks to a system that is resistant to change. ​Here, you have an opportunity to build something from the ground up. This is a working board, building a solid foundation for the future.

Time commitment: ​minimum of 4-6 hours a month.
Term:​ 2 years with the option to add an additional year. Board members must wait at least 1 year after their 3rd year before reapplying.
Level:​ Executive

About our expectations

  •  Executive-level members will meet monthly (entire board meets every other month) on the 2nd Wednesday.
  •  Promote, endorse and work diligently to achieve the Mission, Vision and Strategic Goals of the organization
  •  Review all related documents prior to the meeting and come prepared to discuss agenda items and provide input
  •  Actively participate in at least one Board Committee and follow through in a timely manner with all assignments and tasks
  •  Review, understand and comply with bylaws, governance policies and relevant operational policies
  •  Donate, volunteer or participate in BMC fundraising endeavors
  •  Attend the Annual General Meeting
  •  Be mindful of Board policies about confidentiality and conflict of interest
  •  Service is without remuneration, except for administrative support in relation to one’s duties.

 

Focus: Operations/Administration

  •  Maintains records of the board and ensures effective management of the organization’s records
  •  Manages minutes of board meetings
  •  Ensures minutes are distributed to members shortly after each meeting
  •  Is sufficiently familiar with legal documents (articles, by-laws, etc.) to note applicability during meetings

 

Duties Specific to the Board Secretary

  •  Serves on the Executive Committee.
  •  Keeps copies of the organization’s bylaws and the Board’s policy statements.
  •  Keeps lists of officers, Board Members, committees and General Membership.
  •  Notifies Board Members of meetings.
  •  Keeps record of Board attendance.
  •  Makes sure that there is a quorum at Board meetings.
  •  Keeps accurate Minutes of meetings.
  •  Records all motions and decisions of meetings.
  •  Signs Board Minutes to attest to their accuracy.
  •  Records all corrections to Minutes.
  •  Keeps copies of Minutes of both Board and committee meetings.
  •  Keeps accurate record of Executive Committee meetings.
  •  Distributes copies of Board Minutes and actions to Board Members promptly after meetings.
  •  Distribute copies of Executive Committee Minutes and actions to Executive Committee Members promptly after meetings.
  •  Conducts general Board correspondence.
  •  Keeps records of all Board correspondence.
  •  Signs official documents of the organization as required.
  •  Makes sure members are notified of Annual General Meetings.

 

Qualifications

  •  Experience either as an employee or board member of a nonprofit organization; must be familiar with nonprofit finance and accounting regulations
  •  Proven track record of success facilitating progressive organizational change and development within a growing organization
  •  Excellent judgment and creative problem-solving skills including negotiation and conflict resolution skills
  •  Strong mentoring, coaching experience to a team with diverse levels of expertise
  •  Entrepreneurial team player who can multitask
  •  Superior management skills; ability to influence and engage direct and indirect reports and peers
  •  Self-reliant, good problem solver, results-oriented
  •  Energetic, flexible, collaborative, and proactive; a team leader who can positively and productively impact both strategic and tactical finance and administration initiatives.
  • Exceptional written, oral, interpersonal, and presentation skills and the ability to effectively interface with senior management, board of directors, and staff
  • Ability to operate as an effective tactical as well as a strategic thinker
